# Terms of Service

> The agreement between you and SeedBasis: what the service does, what you can expect from us, and what we expect from you.

Last updated: 2026-10-22. Canonical page: https://seedbasis.com/legal/terms

Version 2026-10-22. Effective 28 September 2026.

## 1. Who we are and what these Terms cover

SeedBasis is run by SeedBasis, LLC, a Delaware limited liability company founded and run by Efe Adiguzel (“SeedBasis”, “we”, “us”). The [Who runs SeedBasis](https://seedbasis.com/legal/company) page says how to reach us and who sells SeedBasis.

These Terms are the agreement between you and us for using the SeedBasis website, app, SeedBasis Agent and connected assistant access (the “service”). You accept them when you create an account. These documents are part of the Terms:

- The [Acceptable Use Policy](https://seedbasis.com/legal/acceptable-use), which says what you may not do with the service.
- The [Refunds and withdrawal](https://seedbasis.com/legal/refunds) page, which explains your right to withdraw and how refunds work.
- The [AI disclosure](https://seedbasis.com/legal/ai), which explains how reports are made and where they can go wrong.

The [Privacy Policy](https://seedbasis.com/legal/privacy) and the [Cookie Policy](https://seedbasis.com/legal/cookies) explain how we handle personal data. They inform you; they are not contract terms.

## 2. The service

- **Reports.** You describe a startup idea and answer a short set of questions. Our research pipeline, which uses AI models, researches the idea against public data sources and produces a report in six groups: Validation, Marketing, Build, Legal risks, Capital, and Roadmap. Every finding shows its source and a confidence level. Or you describe a company you run, and the same pipeline researches it from the outside, from public sources and any figures or documents you choose to give, in eight groups: Where you stand, Competitors in numbers, Marketing, Your numbers, Plan, Capital, Build, and Legal risks. Numbers about other companies are estimates, shown as ranges with how they were worked out.
- **A workspace.** You type into a report the way you would into a document: the writing, your own notes, highlights and pages of your own. Everything saves itself, every version is kept, and the original research stays in Archives. Your edits are marked as yours, and you can download any part of your version as a PDF.
- **SeedBasis Agent.** An AI assistant in the app answers questions about your reports, and can change their pages when you ask it to: writing, rewriting, highlighting, adding notes and making pages of your own. What it changes is marked as the agent's, listed in the answer that made it, and undone in one click. Starting a new report, which uses a report credit, and deleting a page of yours still wait for your confirmation.
- **Connected assistants.** You can let your own AI assistant, such as Claude or Codex, read your reports through our MCP server, and change their pages if you allow it (section 11).

A report takes a while to research, usually about an hour. We email you when it is ready, or if it cannot finish.

## 3. Who can use SeedBasis

- You must be at least 18 years old, or the age of majority where you live if that is higher, and able to enter into a binding contract. When you create an account, you confirm this by ticking the box that accepts these Terms, or by continuing with Google or Apple under the same notice. We may close an account we learn belongs to someone younger.
- An account belongs to one person and may not be shared.
- You may not use the service from a country or region where it is not offered (Cuba, Iran, North Korea, Syria, Russia, Belarus, China, Crimea and Sevastopol, the Donetsk and Luhansk regions of Ukraine, and Quebec), or if sanctions law prohibits us or our providers from dealing with you. These limits come from sanctions law, from the countries our payment and AI providers serve, and from local rules we cannot meet yet, such as offering the service in French in Quebec.
- If you use the service for a business, you confirm you may accept these Terms for it. The consumer rights described in these Terms apply only to consumers.

## 4. Your account

- Give accurate information and keep your email address current. We send security and billing messages to it.
- You must confirm your email address before you can sign in with a password. Password accounts that are not confirmed within 72 hours are deleted automatically.
- Keep your password and backup codes secret. We recommend turning on two-factor authentication in Settings.
- Tell us straight away at security@seedbasis.com if you think someone else has access to your account.
- You are responsible for what happens in your account, unless it results from our failure to keep the service secure.

When you sign up, we record which version of these Terms you accepted and when.

## 5. What you can buy

| What you buy | What it gives you | Price |
| --- | --- | --- |
| Report credits | One complete report on one idea for each credit, bought one at a time or 3 or 10 together. A credit is used when you start a report. Unused credits do not expire. | As the [Pricing](https://seedbasis.com/pricing) page and checkout show |
| Agent credits | Each report credit you buy adds 100 agent credits to your account. They pay for SeedBasis Agent: its answers, its commands such as deep research, and reading scanned documents, each counted at what it costs us to run. They are one balance for the account, which you can use on any of your reports. When they run out, the agent stops answering until you add more. | Included with each report credit |
| Agent credit packs | More agent credits for your account, to use on any of your reports: 100 agent credits for $10, 250 for $20 or 500 for $35. | As the Agent credits page and checkout show, plus any VAT or sales tax |

Checkout shows the total price before you pay. Report credits are priced with any VAT or sales tax included, which Link, which sells to you (section 6), collects where it applies: what the Pricing page shows is what you pay. Agent credit packs are priced before tax: VAT or sales tax is added at checkout where it applies, and checkout shows it and the total before you pay. Checkout may show the price in your own currency, converted at the rate it states.

### Launch prices and offers

- While a launch offer runs, report credits sell at launch prices. The Pricing page shows the day it ends and the prices that apply from the next day.
- A 10% code from our Pricing page is for the person it was sent to, one per person. It takes 10% off one purchase of report credits, once. It cannot be combined with another code, has no cash value, and cannot be transferred or sold.
- After the first report of an account that bought a single report, the account may be offered 2 more reports at a special price for 7 days from when that report is ready. The Dashboard shows the price, what the same reports cost bought one at a time, and when the offer ends. It is for that account only, once.

### Report credits and agent credits

- Report credits and agent credits are a right to use the service. They have no cash value, cannot be transferred or resold, and are refunded only as the [Refunds and withdrawal](https://seedbasis.com/legal/refunds) page describes or where the law requires.
- If a report fails before any section finishes, its credit is returned to your account automatically. The [Refunds and withdrawal](https://seedbasis.com/legal/refunds) page explains what happens when a report stops after some sections have finished.
- If a payment is refunded, reversed or charged back, the report credits or agent credits it paid for are removed, and we may pause the account until a chargeback is resolved.
- **Referral credits.** When someone makes their account through your referral link (Settings, Refer a friend) and pays for their first report, you and they each receive 100 agent credits. The link does not expire. Only for a new account of another person, never for your own accounts; you are rewarded for at most 25 friends, while each friend still receives theirs. If that payment is refunded, reversed or charged back, both rewards are removed. Referral credits are agent credits like any other, and we may end or change referrals at any time without taking back credits already given.

## 6. Link, our merchant of record

Report credits and agent credit packs are sold through Link: Sold through Link, LLC, a Stripe company, is the merchant of record. It takes the payment through Stripe, handles sales tax and VAT, sends your receipts and invoices, and handles payment support and disputes, under [Link's terms for purchases sold through Link](https://link.com/terms#sold-through-link-terms). Your card statement shows LINK.COM* SEEDBASIS. We never see your full card details.

We email you a confirmation of each purchase, with what you bought, the price you paid, your right to withdraw and what you confirmed before paying. These Terms cover your use of the service itself. Where Link's terms and these Terms conflict about a purchase, a payment or a refund, Link's terms apply to that purchase.

## 7. Withdrawal and refunds

Unused credits can be withdrawn within 14 days of purchase. When you start a report, you confirm that you want it to start now and that your right to withdraw ends for that credit. For agent credit packs, you ask for the credits to be available straight away, so if you withdraw within 14 days you pay only for the agent credits already used. To withdraw, email support@seedbasis.com or write to Link's support at any time during the withdrawal period; the [Refunds and withdrawal](https://seedbasis.com/legal/refunds) page has the full rules and a model form. Nothing in these Terms limits rights you have under the law where you live.

## 8. AI output is research, not advice

- Reports and the agent's answers are produced by AI models and automated checks. No person reviews them before you see them.
- AI models can occasionally state things that are not true, even when a finding has been checked against its sources and shows high confidence. Reports can also be incomplete or out of date.
- Treat reports as a starting point. Do your own research, and check for yourself anything that matters before you rely on it, starting from the sources every finding links to.
- **They are not legal, financial, tax, investment or other professional advice.** The Legal risks group shows legal issues your idea or your company may face where you plan to launch or already sell, and the Capital group shows ways to fund it; both say what to check and who to ask. Before you act on them in a decision with legal or financial consequences, get advice from a qualified professional, such as a lawyer or a licensed accountant.
- Figures a report computes, such as estimates, scenarios, runways and value ranges, are models of the inputs shown beside them, including inputs you gave us. They are not predictions, and a value range is not a valuation for tax, financial reporting, a sale or an investment.
- SeedBasis does not recommend, arrange or introduce any investment, loan or insurance policy, does not contact investors, lenders, insurers or authorities for you, and is not paid by any company or programme a report names.
- Legal and tax content describes rules and official sources that may apply to an idea or a company like yours. It does not decide how the law applies to you, it is not a substitute for the advice of an attorney, and nothing in SeedBasis is immigration advice.
- Decisions about your idea or your company, including whether to build it, change it, spend money on it or raise money for it, are yours.
- Before checkout opens, you confirm that you understand these limits.

The [AI disclosure](https://seedbasis.com/legal/ai) explains which models we use, how findings are checked, and the ways reports are known to fail.

## 9. Acceptable use

You must follow the [Acceptable Use Policy](https://seedbasis.com/legal/acceptable-use), which includes rules our AI providers require us to pass on to you. We may decline to research an idea, or stop a report, that breaks it.

## 10. Your content and your reports

- **Your content stays yours.** Your idea, onboarding answers, notes, edits and messages to the agent belong to you.
- **The permission you give us.** You allow us to host, copy, process and transmit your content only to run the service for you: to research your idea, build and store your reports, answer your questions, keep backups and protect the service. That includes sending it to the providers listed on the [subprocessors](https://seedbasis.com/legal/subprocessors) page. The permission ends when you delete the content or your account, apart from copies in backups until those expire.
- **We do not train AI models on your content, and we do not publish it.** Public data sources receive search terms derived from your idea, never the idea text itself; for a report about a company, also the company's name and website, never the figures or documents you give us.
- **A company you research.** A report about a company is for a company you run. Attach only documents, and type only figures, that you have the right to share with us for this purpose, and leave out what the report does not need, such as names, salaries or customer lists.
- **Your reports are yours to use.** You may use, edit, share and publish your reports for any lawful purpose, including showing them to investors or co-founders. To the extent we have rights in a report, you may use them for those purposes without paying us anything more. Someone who researches a similar idea may receive similar findings.
- **Sharing a report.** A report is written for you. Anyone you share it with, such as a co-founder, an investor or a partner, may read it as research: any decision they make stays theirs, it is not advice to them, and we accept no responsibility to them for it. A view-only link you make lets anyone who has it read the report until you turn the link off or it ends.
- **Sources belong to their owners.** Reports quote short passages from third-party sources and link to them. Those passages remain their owners' property, and your use of them must respect those rights.
- **Feedback.** If you send us suggestions, we may use them without owing you anything.

## 11. Connected assistants and access tokens

- In Settings, under Connected AI, you can let an AI assistant of your choice, such as Claude, Claude Code or Codex, read your reports through our MCP server and, if you also allow editing, change their pages.
- When an assistant connects by signing in, you see its name and what it can read before you allow it. You can remove it at any time, which revokes its access.
- You can instead create a personal access token. It is shown once, expires after 30 days, 90 days or a year, and can be revoked at any time. Keep it secret: anyone who has it can do what it allows, which is reading your reports and, if you allowed editing when you made it, changing them.
- Editing is a separate permission, which you choose when an assistant connects or when you make a token, and a token's permissions never grow after it is made. What an assistant changes is marked as the agent's and can be undone in one click. No assistant can start a report, spend a credit or delete a page of yours.
- An assistant acts for you. Its provider handles what it reads under your agreement with that provider, not under ours, and we are not responsible for what a third-party assistant does with it.
- Calls from connected assistants count against a monthly allowance for your account: 1,000 calls a month. When it is used up, calls stop until the allowance resets on the first day of the next month.
- We may revoke access or tokens that appear to be compromised.

## 12. Our service and brand

The software, design, text, research method, and the SeedBasis name and logo belong to us or our licensors. These Terms give you a personal right to use the service while your account is open; they do not transfer any of it to you. You may not copy, scrape or resell the service, or try to extract its source code, except where the law allows it despite this restriction.

## 13. Availability and changes to the service

- We work to keep the service available, but it may be interrupted for maintenance, by providers we rely on, or by events outside our control. Section 5 explains what happens to your credit if a report is interrupted.
- Reports rely on AI providers. When one of them has an outage, reports that are running pause and carry on from where they stopped once it recovers, which can delay a report by hours. While report making is paused, the app shows a notice. An outage at a provider is outside our reasonable control (section 15), and a report that still cannot finish is handled as section 5 describes.
- We may change or remove features for a valid reason, such as security, a change in the law or improving the service, at no cost to you.
- If a change makes the service you have paid for harder to access or use in more than a minor way, we tell you clearly by email before it happens. You may then end the contract free of charge within 30 days of that email, or of the change if it comes later, and we refund the part you paid for and have not used.

## 14. Suspension and termination

- You can stop using the service and delete your account at any time in Settings. Deletion removes your reports and data as the [Privacy Policy](https://seedbasis.com/legal/privacy) describes. Unused report credits and agent credits end with the account, so use them, or withdraw if you still can, before you delete.
- We may suspend or close an account, or stop a report, if you seriously or repeatedly break these Terms or the Acceptable Use Policy, if the law requires it, or to protect people or the service from harm. Where the law allows, we warn you first and give you a chance to put things right.
- When we restrict your account or your content, we tell you what we did and why, and how to ask us at support@seedbasis.com to review the decision.
- If we close your account without a reason these Terms allow, we refund unused prepaid amounts through Stripe.
- Sections 10, 15 and 16 continue to apply after the contract ends.

## 15. Our responsibility to you

- If you are a consumer, you have legal rights when a service is not provided with reasonable care and skill or as described, and when digital content is faulty. Nothing in these Terms affects those rights.
- Reports are a starting point for your own research and decisions. A report made with reasonable care is not wrong because events later turn out differently.
- If you are a consumer, we are responsible for loss you suffer that was a foreseeable result of our breaking these Terms or not using reasonable care and skill.
- We are not responsible for loss that was not foreseeable when you made your purchase, or for events outside our reasonable control.
- If you use the service for a business, including a report about a company you run, our total liability for all claims about the service is limited to the greater of what you paid us in the 12 months before the claim and US$100, and we are not responsible for loss of profit, revenue or opportunity.
- We do not exclude or limit liability for death or personal injury caused by negligence, for fraud, for gross negligence or intentional misconduct, or for anything else the law does not allow us to exclude or limit.

## 16. Law and disputes

- These Terms are governed by the laws of the State of Delaware, United States, where SeedBasis, LLC is registered.
- If you are a consumer, that choice does not take away the protection of the mandatory rules where you live, and you may bring a claim in the courts there. Consumers in the European Union and the United Kingdom can be taken to court only where they live.
- If you are a consumer in Quebec, the law and courts of Quebec protect you as Quebec law provides. Nothing in these Terms requires a consumer anywhere to use arbitration or to give up joining a class action.
- If you use the service for a business, the state and federal courts located in Delaware have exclusive jurisdiction.
- Please contact us first at support@seedbasis.com. Most problems are quicker to solve directly.

## 17. Changes to these Terms

- We may update these Terms when the service, the law or the way we operate changes.
- For a material change, we tell you by email and in the app at least 30 days before it takes effect, show you what changes, and ask you to accept the new version. If you do not accept it, you can end the contract free of charge before the change applies: delete your account, and we refund the report credits and agent credits you paid for and have not used.
- Changes the law requires, or that fix a security problem, may apply sooner.
- The version and date at the top of this page show which Terms apply. Earlier versions: [what each one said](https://seedbasis.com/legal/terms-history); we keep every earlier version and send any of them to you on request at legal@seedbasis.com.
